COMMERCIAL LICENSE AGREEMENT
This Commercial License Agreement (the "Agreement") is entered into on the date of subscribing to one of Licensor's online membership plans (the "Effective Date") by and between Holoprops Inc, having its principal place of business at 7264 rue Boyer, Montréal, H2R 2R7, QC, Canada (hereinafter referred to as the "Licensor"), and the supporter, either an individual or an entity that subscribed to one of Licensor's online membership plans, agreeing to the terms herein (hereinafter referred to as the "Licensee").
1. Grant of License
Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, limited license to use, reproduce, and sell 3D prints based on certain 3D models ("Designs") created by Licensor, in filament or resin, for personal or commercial purposes. This license is solely for 3D prints and excludes any form of casting, plastic molding, or mass market production without prior written approval from Licensor.
2. Subscription Requirement
2.1 Licensee must maintain an active monthly subscription to one of Licensor's online membership plans that explicitly includes a commercial license. The license to sell prints based on Designs is contingent upon Licensee's continuous subscription to such a plan. Licensee's subscription status will be verified periodically by Licensor.
2.2 Plans designated for personal use do not include a commercial license. Licensees on personal plans are strictly prohibited from engaging in any commercial activities with Licensor's Designs. Personal use includes the ability to gift printed items to friends or family, but does not extend to any form of sales.
2.3 In the event of a lapse in subscription, Licensee must immediately cease all sales of 3D prints based on Designs and remove such products from any sales platforms. Failure to comply may result in legal action.
3. Scope of Use
3.1 Licensee may sell 3D prints based on Designs in physical or online shops, with limits of 1000 sales per month and/or 100,000.00 USD gross revenue per year, provided an active subscription to a plan that includes a commercial license is maintained.
3.2 Licensee agrees that upon unsubscribing from Licensor's membership, all products based on Designs must be promptly removed from Licensee's shops. Continued sales of such products after subscription termination will be considered a violation of this Agreement.
3.3 Licensee may not use the Designs for any purpose other than creating 3D prints for sale or personal use. The use of Designs in digital form for any commercial purpose is strictly prohibited unless explicitly authorized by Licensor in writing.
3.4 Any distribution, sharing, resale, or unauthorized use of Licensor's digital files (STL files, ZIP files, images, etc.) is strictly prohibited. These materials are the property of Licensor and may not be distributed, either for free or for profit, in any form or on any platform.
4. Ownership and Restrictions
4.1 The digital files containing the Designs remain the sole property of Licensor. Licensee may not resell, share, distribute, or otherwise make the digital files available to any third party.
4.2 Licensee may not modify, adapt, reverse engineer, decompile, or create derivative works based on the digital files.
4.3 Licensee agrees to take reasonable steps to protect the Designs from unauthorized access or use, including using secure storage solutions for digital files.
5. Use of Photos
5.1 Licensor retains full ownership of all photos provided in connection with its Designs. Licensee is granted a limited fair use license to display these photos in connection with the sale of 3D prints based on Designs, as long as an active commercial license is maintained.
5.2 Licensee may not modify the photos in any way, including but not limited to adding logos or other branding elements. Cropping the photos is permitted, but no other alterations are allowed.
